Our service offerings under this department include but are not limited to, corporate law, mergers and acquisitions, share deals and corporate restructuring, tax law advisory, labor and employment matters advisory, and charities law. We handle the registration of various forms of business entities, including public and private companies, local branch/liaison offices of foreign corporations, business names, general partnerships, cooperative societies, and not-for-profit organizations such as trusts, NGOs, community benefit organizations, societies, charitable trusts, and foundations. We also advise our clients on specific laws that govern their operations and other compliance issues.

We prepare agreements and various deeds for transactions related to these entities, including company restructuring, board charters, share sale and purchase agreements, share transfer and other share deals, asset or business transfer agreements, shareholders’ agreements, joint venture agreements, and loan agreements. We also offer company secretarial and trust services about companies. The firm has extensive experience in handling various asset, business, and share deal transactions for our clients, including the hive-down of specific business units for restructuring or sale purposes, asset and business purchase agreements, legal due diligence, and management buy-out transactions.

Company Secretarial

The firm offers a wide range of company secretarial services to local and international clients, including, among others, the incorporation of public and private companies and branches, registration of Limited Liability Partnerships (LLPs), partnerships and sole proprietorships, restructuring of ownership and management of corporate entities, filing and maintaining company returns, procuring company seals, obtaining Tax Compliance Certificates, striking off and dissolving companies, and deregistration with the Nigerian Revenue Authority.
