Section 292 of the Companies and Allied Matters Act 2020 requires that fourteen (14) days Notice is given to all members of the board before a meeting is held.

Failure to issue notice invalidates the meeting. Notice may not be given to members of the board that are outside Nigeria (this is subject to the provision of the company’s Articles.) However, if a Nigerian address is provided, Notice shall be sent to that address.
