A Power of Attorney (POA) is a legal instrument by which the donor (a Company) of power appoints a donee/attorney to be its true and lawful attorney with full power and authority for and in the name and on behalf of the Company to do and execute all or any of the things that the Company could do.

By law, where a POA authorises the donee/attorney to execute a deed in favour of a third party, such POA must be executed as a deed by the donor. Thus, this POA has been drafted as a deed.
